Last updated 5 October 2026

Terms & Conditions

These Terms & Conditions (the "Terms") form a legally binding agreement between you and EriPay ("EriPay", "we", "us" or "our"). They govern your use of eripays.com, the EriPay web and mobile applications, the EriPay merchant and agent portals, the EriPay API, and every product we offer through them (together, the "Services").

By creating an account, ticking "I accept" or using the Services, you confirm that you have read, understood and agree to these Terms, our Privacy Policy, our AML & KYC Policy, our Risk Disclosure and our Cookie Policy. If you do not agree, please do not use the Services.

Key points

  • You must be 18 or older and verify your identity to use the full Services.
  • Your EriPay balance is not a bank deposit, does not earn interest unless a product says so, and is not covered by the Deposit Protection Fund of Uganda.
  • Fees are shown before you confirm a transaction. Mobile money network fees are added on top of the amount you deposit or pay.
  • Keep your password, Wallet PIN and one-time codes secret. Tell us at once if you think your account has been misused.
  • Crypto, Wallet Earn and other products carry risks explained in our Risk Disclosure.
  • These Terms are governed by the laws of the Republic of Uganda.

1. Definitions

  • Account: your EriPay user, merchant or agent account.
  • Wallet: a balance held in your Account in a given currency (fiat or crypto).
  • Transaction: any deposit, withdrawal, transfer, request, exchange, payment, refund, subscription charge, card load, voucher, gift card, airtime purchase, stake or reward on your Account.
  • Payment Partner: a mobile network operator, payment aggregator, bank, card issuer or processor, blockchain network or other third party that helps us carry out a Transaction.
  • Business Day: any day other than a Saturday, Sunday or public holiday in Uganda.

2. About EriPay

EriPay is a digital wallet and payments platform operating from Onapa Rd, Barogole - weigweng, City West Division, Lira, Uganda. EriPay lets people and businesses hold, send, receive, exchange and spend money in multiple fiat currencies and supported digital assets.

Certain Services, such as mobile money collections and payouts, card issuance and the settlement of funds, are provided by or through our Payment Partners. Where a Service requires a licence, authorisation or registration, it is provided only where EriPay or the relevant Payment Partner holds it. Some Services may not be available in every country or to every customer.

3. Eligibility and your Account

  • You must be at least 18 years old, have full legal capacity, and not be a person barred from receiving financial services under the laws of Uganda or any other applicable country, including sanctions laws.
  • You may hold only one personal Account unless we agree otherwise. A business must be registered by a person authorised to act for it.
  • All information you give us must be true, accurate, current and complete. You must update it promptly when it changes.
  • Your Account is personal to you. You must not sell, transfer, lend or let anyone else use it.

4. Identity verification and limits

To comply with the Anti-Money Laundering Act, 2013 (as amended) and related laws, we must verify the identity of our customers. We may ask for identification documents, a selfie or liveness check, proof of address, information about the source of your funds and, for businesses, details of directors and beneficial owners. We may verify this information with third parties.

Until you complete verification, your Account may be limited in what it can do and how much it can hold or move. Limits depend on your verification level, country, currency and risk profile, and are shown in your Account. We may change limits at any time to manage risk or comply with the law. See our AML & KYC Policy for details.

5. Keeping your Account secure

  • Keep your password, Wallet PIN, two-factor codes and one-time passwords (OTPs) confidential. Never share them with anyone, including people claiming to be EriPay staff. EriPay will never ask you for them.
  • Use a strong, unique password and enable two-factor authentication.
  • Keep your devices, email account and SIM card secure, and sign out on shared devices.
  • Check your transaction history regularly and read the security alerts we send.
  • If you suspect that your Account, device, SIM or credentials have been lost, stolen or compromised, change your password and PIN immediately and contact us at info@eripays.com or +256 702 430 400. We will take steps to block further use.

You are responsible for all Transactions made with your credentials until you tell us about a compromise, unless the loss was caused by our fault or the law provides otherwise. You are fully responsible for any loss if you acted fraudulently or with gross negligence, for example by sharing your PIN or OTP.

6. The Services

6.1 Wallets and balances

Your Wallet balance represents an amount EriPay owes to you in that currency. It is not a bank deposit or a savings account, it does not earn interest except under a product that expressly offers rewards (such as Wallet Earn), and it is not covered by the Deposit Protection Fund of Uganda. Customer funds held for fiat Wallets are kept separate from EriPay's operating funds at our Payment Partners where the law or our partner arrangements require it.

6.2 Deposits

You can add money by mobile money, card, bank transfer, crypto or any other method shown in your Account. A deposit is credited once the Payment Partner confirms that it has received the funds. Some deposits are confirmed instantly; manual methods are credited after we review them. For mobile money deposits, the network's collection fee is added on top of the amount you deposit and is shown before you confirm. Deposits that remain unpaid expire automatically.

6.3 Withdrawals

You can withdraw to a mobile money number, bank account, crypto address or other supported method. You are responsible for entering correct payout details; a payout sent to details you entered cannot always be recovered. Withdrawal fees, including any EriPay withdrawal fee, are shown before you confirm. Withdrawals may be held for review where needed to prevent fraud or comply with the law. If a withdrawal fails, the amount is returned to your Wallet.

6.4 Sending and requesting money

You can send money to other EriPay users by email, username or phone number, and request money from them. Transfers between EriPay users are normally instant and cannot be reversed once completed, so check the recipient carefully. Pay money requests only from people you know and trust.

6.5 Currency exchange

You can convert between supported currencies at the rate shown at the time of the exchange. Rates include EriPay's margin and change frequently. The rate is locked only when you confirm.

6.6 Merchant payments, payment links and QR

When you pay a merchant through EriPay, your contract for the goods or services is with the merchant, not with EriPay. Questions about delivery, quality or returns should go to the merchant first. Refunds are made by the merchant and returned to your Wallet.

6.7 Virtual cards

Virtual cards are issued through a card-issuing partner and are subject to that partner's terms and the card network's rules. Card issuance, top-up and maintenance fees are shown before you confirm. You must use the card only for lawful purchases and keep its details secret. You can freeze the card from your Account at any time.

6.8 Gift cards, vouchers and airtime

Gift cards and vouchers can be redeemed by anyone who holds the code, so treat codes like cash and share them only with the intended person. Airtime and data top-ups are delivered through third-party providers; if a top-up fails, the amount charged is returned to your Wallet.

6.9 Wallet Earn

Wallet Earn lets you lock an amount for a fixed term in exchange for scheduled rewards at the rate shown for the plan. Each plan states its term, reward rate, payout schedule and whether the principal is returned at maturity. Locked amounts cannot be withdrawn before maturity unless the plan allows it. Rewards are an obligation of EriPay only. Wallet Earn is not a bank deposit, a collective investment scheme or an insured product. Read the Risk Disclosure before you stake.

6.10 Subscriptions

Paid EriPay plans and merchant subscriptions renew automatically at the end of each billing cycle unless you turn off auto-renew or cancel. The charge is taken from your Wallet. If a renewal fails, a grace period may apply before benefits end. Prices and features are shown before you subscribe. Cancellation stops future renewals; you keep access until the end of the paid period.

6.11 Digital assets

Where crypto Wallets are offered, you can hold, send and receive the supported digital assets. Blockchain transactions are irreversible, and sending assets to the wrong address or network may result in permanent loss. Digital assets are not legal tender in Uganda, are highly volatile and are not protected by any government scheme. See the Risk Disclosure.

6.12 Agents

EriPay agents are independent businesses approved to offer cash-in and cash-out services. They are not employees of EriPay. Before handing over or accepting cash, always confirm the transaction reference in your app. Never share your one-time code with an agent unless you are at their counter and want to complete the cash-out.

6.13 Referral rewards and promotions

Referral rewards, signup bonuses and promotions are offered under their own published conditions. We may withhold or reverse rewards obtained through fake accounts, self-referral or other abuse.

7. Fees

Our fees, charges and exchange rate margins are shown in the Services and before you confirm each Transaction. By confirming, you agree to pay them. Fees are deducted from your Wallet or added to the amount you pay, as shown. Payment Partners may charge their own fees, which we pass on and display where possible. We may change our fees by giving you notice as described in Section 18. Fees are generally non-refundable unless the Transaction fails through our fault or the law requires a refund.

8. Authorising and cancelling Transactions

  • A Transaction is authorised when you confirm it with your password, Wallet PIN, OTP, biometric or another method we provide, or when you authorise a merchant or subscription to charge you.
  • Once a Transaction has been submitted it usually cannot be cancelled. A pending request may be cancelled only if it has not yet been processed.
  • We may refuse, delay or reverse a Transaction if we reasonably believe it is unauthorised, fraudulent, unlawful or in breach of these Terms, if your Account lacks funds, or if a Payment Partner rejects it. Where the law allows, we will tell you and explain how to fix the problem.
  • If money is credited to your Wallet by mistake, you must not spend it, and you authorise us to reverse it.

9. Unauthorised and incorrect Transactions

Tell us without delay, and in any case within 60 days of the Transaction date, if you notice a Transaction you did not authorise or one that was carried out incorrectly. We will investigate and, where we find the Transaction was unauthorised or executed incorrectly through no fault of yours, we will restore your Wallet. While we investigate, we may temporarily restrict the Account to prevent further loss.

10. Prohibited use

You must not use the Services to:

  • break any law, including laws on money laundering, terrorist financing, sanctions, fraud, tax evasion, gambling, consumer protection or data protection;
  • receive the proceeds of crime or move funds on behalf of anyone you do not know;
  • run pyramid or Ponzi schemes, unlicensed lending, investment or money transfer businesses, or any other unauthorised financial activity;
  • buy or sell illegal drugs, weapons, stolen goods, counterfeit items, sexual content involving minors or any other illegal goods or services;
  • impersonate another person, provide false information, open accounts for others, or use another person's identity documents;
  • attempt to hack, overload, reverse engineer or interfere with the Services, or misuse the API; or
  • harass, threaten or defraud other users, merchants or agents.

11. Suspension, restriction and closure

We may suspend, limit or close your Account, hold funds or refuse Transactions if we reasonably believe that you have breached these Terms, that your Account is being used for fraud, money laundering or other unlawful activity, that we must do so to comply with a law, court order or regulator, or that there is a security risk. Where the law allows, we will tell you the reason. Funds may be held for as long as the law or an authority requires.

You may close your Account at any time by contacting support, after withdrawing your balance and settling any amounts you owe. If we close your Account without cause, we will give you at least 30 days' notice. On closure, we will return any remaining balance to you, less amounts you owe, after completing any checks the law requires. We keep your records as described in our Privacy Policy.

12. Dormant Accounts

If your Account has no activity for 12 months or more, we may mark it as dormant and restrict it until you confirm your identity again. Balances in dormant Accounts remain yours and will be handled in line with the law on unclaimed funds.

13. Additional terms for merchants

  • Merchants must be approved before accepting payments, keep their business and settlement information up to date, and use the Services only for the business described in their application.
  • Merchants must describe their goods and services honestly, publish their refund and delivery policies, honour refunds, and handle customer complaints promptly.
  • Merchants are responsible for refunds, disputes and chargebacks on their sales. We may deduct these amounts and related fees from the merchant's balance, or hold a reserve where risk requires it.
  • API keys and webhook secrets must be kept secure. Merchants are responsible for all activity made with their keys.
  • Merchants that collect personal data from their customers must comply with data protection law and have their own privacy notice.

14. Additional terms for agents

  • Agents must be approved, operate only from the declared location, display EriPay agent materials as instructed, and keep enough cash and float to serve customers.
  • Agents must verify each customer transaction in the agent portal before handing over or accepting cash, must never ask customers for their PIN or password, and must report suspicious activity to EriPay immediately.
  • Commissions are earned and paid as shown in the agent portal. We may withhold commission on Transactions found to be fraudulent or in breach of these Terms.

15. Intellectual property

The EriPay name, logo, software, website content and designs belong to EriPay or its licensors. We grant you a limited, personal, non-exclusive and revocable licence to use the Services for their intended purpose. You must not copy, modify, distribute or create derivative works from them without our written permission.

16. Our liability

We will provide the Services with reasonable care and skill. To the extent the law allows:

  • we are not liable for losses caused by events beyond our reasonable control, including failures of Payment Partners, mobile networks, the internet, power supply, blockchain networks, or acts of government ("force majeure");
  • we are not liable for indirect or consequential losses, loss of profit, loss of business or loss of opportunity;
  • we are not responsible for the goods or services you buy from merchants, or for the acts of agents or other users; and
  • our total liability to you for any claim related to the Services is limited to the amount of the Transaction concerned plus any fees you paid for it, or, where no Transaction is concerned, the fees you paid us in the 12 months before the claim.

Nothing in these Terms limits liability for fraud, gross negligence, wilful misconduct, death or personal injury, or any liability that cannot be limited under Ugandan law.

17. Your responsibility to us

You agree to compensate EriPay for losses, costs and claims that arise because you broke these Terms or the law, or used the Services fraudulently, except to the extent caused by our own fault.

18. Changes to these Terms

We may change these Terms, our fees or the Services. We will give you at least 30 days' notice of material changes by email or in-app notification, unless a change is required by law, is needed urgently for security reasons, or is clearly in your favour, in which case it may take effect immediately. If you do not agree with a change, you may close your Account before it takes effect without paying a closure charge. If you keep using the Services after the change takes effect, you accept it.

19. Communications

We communicate with you in English by email, push notification, SMS and in-app messages, using the contact details on your Account. You agree to receive these electronic communications, and that they satisfy any legal requirement for written notice, as provided by the Electronic Transactions Act, 2011. Keep your contact details up to date.

20. Complaints

We want to put things right quickly. To make a complaint:

  1. Open a support ticket in your Account or email info@eripays.com, describing the issue and including the transaction ID where relevant.
  2. We will acknowledge your complaint within 2 Business Days and aim to resolve it within 14 Business Days. Complex cases may take longer, and we will keep you informed.
  3. If you are not satisfied with our final response, you may escalate the matter to the relevant regulator or to the dispute resolution process in Section 21.

21. Governing law and disputes

These Terms are governed by the laws of the Republic of Uganda. If a dispute arises, both parties will first try to resolve it in good faith through our complaints process. If it is not resolved within 30 days, either party may refer it to mediation, or to arbitration in Uganda under the Arbitration and Conciliation Act. Nothing in this section prevents either party from seeking urgent relief from the courts of Uganda, or limits any right you have under consumer protection law to bring a claim in the courts of your place of residence.

22. General

  • If any part of these Terms is found invalid, the rest remains in force.
  • If we delay enforcing any right, we do not waive it.
  • You may not transfer your rights under these Terms without our consent. We may transfer ours to a successor business that agrees to honour them.
  • These Terms, together with the policies they refer to and any product-specific terms shown in the Services, are the entire agreement between you and EriPay about the Services.
  • If these Terms are translated, the English version prevails.
